LAW07031 2021 Business Law
The purpose of this module is to give the learner a general introduction to the Irish and European legal systems together with a good working knowledge of the law, creating awareness of areas where legal expertise may be required. The learner will acquire knowledge and skills in relation to the application of basic legal principles and will be equipped with a broad general knowledge of a diverse range of legal subjects, including Contract Law, Tort Law, Company Law, Commercial Law, Employment Law, and Business Ethics.
Learning Outcomes
On completion of this module the learner will/should be able to;
Describe the system of administration of justice in Ireland in relation to Civil and Criminal Law.
Apply the fundamentals of Contract Law, Tort Law, Company Law and Employment Law in making informed decisions in business.
Analyse and interpret commercial agreements while acknowledging the significance of ADR, Intellectual Property and Data Protection in an evolving commercial environment.
Demonstrate an understanding of the Principles of Insurance
Recognise key factors that will influence decision making within a complex legal environment
Demonstrate the ability to cooperate and work effectively with peers
Teaching and Learning Strategies
This module will be delivered by a mixture of face to face, online delivery and tutorial support as appropriate. The learner will be supported in developing an understanding of the theory and key principles in this area and how these apply in the commercial environment.
Module Assessment Strategies
This module will be assessed by Continuous Assessment (30%) during the semester and by an end of semester exam (70%).
Repeat Assessments
Repeat Assessments will be developed as appropriate to assess failed elements.
Indicative Syllabus
1. Introduction to the Irish and European Legal Systems
- Differences between Civil law and Criminal Law in the Irish Legal System;
- Sources of law including the Irish Constitution, Legislation and the European Union.
2. The fundamental principles of Contract law
- The essential elements of a legally binding contract;
- Identify various terms/clauses in a contract;
- Discharge of contracts and remedies for breach of contract.
3. The fundamental principles of Tort law
- The basic principles of the law of negligence;
- Personal injury actions and the Personal Injuries Assessment Board (PIAB);
- Liability, defences, and remedies in negligence actions
4. Company Law
- An understanding of companies when compared with other forms of business organisation;
- Incorporation, non-incorporation and separate legal personality;
- Different types of Companies.
5. Commercial Law
- An introduction to Commercial Agreements including Agency, Franchising and Distribution Agreements;
- Fundamental Principles of Insurance
- The main provisions of Consumer Protection law and the Competition and Consumer Protection Commission (CCPC);
- Intellectual Property Rights including Trade Marks, Patents, Designs, Copyright, Trade Secrets;
- Alternative Dispute Resolution (ADR);
- Fundamentals of Data Protection law and the General Data Protection Regulation (GDPR).
6. Employment Law
- The essential elements of an employment contract;
- Role of the Workplace Relations Commission (WRC);
- Employment Law legislation and caselaw.
7. Business Ethics and Regulation
- Ethical principles; Integrity, professional competence, confidentiality and accountability;
- Ethical dilemmas and conflicts of interest.
