Description

The purpose of this course is to give the student a good working knowledge of the law in relation to Companies and Corporate Governance and to facilitate the student in exploring legislative developments and changes in this area on an ongoing basis.  Students will acquire knowledge about different company types, their initial set up and the different roles played by members, shareholders, directors and auditors in the day to day management of a company.  Students will also learn to appreciate the role of the company secretary in the area of corporate compliance while gaining an understanding of the terminology used in the day to day management of a company. It is intended that this module will create an awareness of areas where legal expertise may need to be sought.

Learning Outcomes

On completion of this module the learner will/should be able to;

1.

Outline the steps required to set up a company and describe the relevant documentation;

2.

Discuss the practical duties and responsibilites of running a company, to include statutory books, records and returns of a company;

3.

Examine the importance of maintenance of capital and distributions;

4.

Demonstrate the ability to cooperate and work effectively with peers while communicating information accurately.

Teaching and Learning Strategies

The teaching and learning strategy is one which is founded on student-centred active learning. The module is designed to accommodate blended learning experiences.  A range of Computer-Aided Learning (CALL) packages are available to support this module (e.g. Moodle, Adobe Connect, Panopto, Microsoft Teams). The learner will be supported in developing an understanding of the theory and key principles in this area and how these apply in the commercial environment.

Module Assessment Strategies

This module will be assessed by Continuous Assessment (30%) which may vary from a Case study, Presentation, Moodle Quiz, Written Report, Other, during the semester and by an end of semester exam (70%).

Repeat Assessments

Repeat assessment/exam will be developed as appropriate to assess failed components.

1.  Formation of Companies

  • Comparing companies with other forms of business organisation;
  • Incorporation, non-incorporation and 'separate legal personality';
  • Company set up and relevant documentation required;
  • Irish Company Legislation and relevant EU legislation.

2.  Company Administration

  • Annual return requirements;
  • Requisites of a valid meeting - voting, quorums, resolutions and proxies;
  • Anti Money laundering legislation;
  • Role and responsibilities of directors, auditors and company secretary.

3.  Shares, Securities, Loan Capital & Capital Maintenance 

  • Different types of shares and securities;
  • Rights of shareholders, debenture holders and minority protection;
  • Rules on capital maintenance, distribution and share transfers.

4.   Corporate Governance

  • Fundamental principles of ethics and regulation;
  • Regulatory governance framework for Irish companies.
